1.    

Officers:

The Officers of the Nursing Leadership Council shall be President, President-Elect, Secretary, Treasurer, and Immediate Past-President.

2.    

Terms:

a.    

The President-Elect shall be elected each year to serve a one-year term. The President-Elect then assumes the office of President for a one-year term.

b.    

The Secretary shall be elected to serve a one-year term.

c.    

The Treasurer shall be elected to serve a two-year term.

3.    

Vacancies:

a.    

The President-Elect shall fill a vacancy in the office of the President.

b.    

When the President-Elect cannot assume the presidency, the duties of the President shall be temporarily assumed by the Immediate Past President and if she/he cannot preside, the duties shall be assumed by the Secretary and if she/he cannot preside, the duties shall be assumed by the treasurer until the Nursing Leadership Council Board appoints qualified member(s) to serve for the remaining portion of the unexpired term.

c.    

An office may be declared vacant by a majority vote of the Board of Directors if an officer is unjustifiably absent from more than two meetings in one year or for other just cause.

4.    

Qualifications:

a.    

The President and President Elect shall be experienced Nurse Executives who have attended Board meetings on a regular basis and are active in their area council.

b.    

The Secretary and the Treasurer shall be experienced Nurse Executives who have been active in their area council and have attended Board meetings.

Duties:

President

a.    

Presides at all Nursing Leadership Council Board meetings and at the annual meeting.

b.    

Acts as ex-officio member of all committees except the Nominating Committee.

c.    

Performs duties as customarily pertain to the office of President.

d.    

Attends the HASC Board of Director's meetings as the Patient Care Administration representative.

e.    

Appoints chairpersons of committees as appropriate.

f.    

In the absence of the President, the following officers in succession will assume the duties of the President: President-Elect, Immediate Past President, Secretary, and Treasurer.

President-Elect

a.    

Assists the President.

b.    

Serves as ex-officio member of all committees except the Nominating Committee.

c.    

Chairs the Program Committee.

d.    

Monitors and reports to the Board at least quarterly progress on the Strategic Plan.

Immediate Past President

a.    

Serves as a Board member and attends all Board meetings.

b.    

Chairs the Nominating Committee.

c.    

Chairs the Bylaws Committee.

Secretary

a.    

Responsible for preparing and maintaining full and correct records of all meetings.

b.    

Notifies in writing the officers, Board of Directors, and/or all membership of all regular, special and annual meetings.

a.    

Responsible for receiving and holding monies and paying out authorized disbursements.

b.    

Develops an annual membership roster for the membership and mails out statements for dues.

c.    

Prepares financial statements as required.

d.    

Coordinates the auditing of all financial records on an annual basis by December.
